CIEL ELECTRONIQUE BOUTIQUE - GENERAL TERMS OF CONDITIONS OF SALE - PROFESSIONALS

1. Orders

As professionals, you should open an account.

An identifier and a login will then be sent to you at your e-mail address and will enable you to access professional prices. In the case where you have not opened an account for the first order, it is the price validated which is applicable in all cases.

You can directly order on the CIEL ELECTRONIQUE BOUTIQUE site at the address
www.ciel-electronique which concerns retail sales, all you have to do is add the article displayed to the shopping basket and follow the instructions. We will send you an order confirmation which, in all cases, validates the process.

2. Minimum invoicing

The minimum order is 75.00 euros, excluding taxes

3. Delivery time

The products ordered that are in stock are dispatched within 72 hours + the delivery agent's time,
Allowing for exceptions (mentioned on the order confirmation) the products ordered are delivered within a minimum period of 4 weeks.

4. Prices

Prices are stipulated in euros excluding taxes (VAT to be added at 19.60%) ex warehouse. They are guaranteed except in a case of force majeure or an obvious printing error.

5. Costs of transport and packing

An all-inclusive rate is agreed: 15.00 euros, excluding taxes

6. Payment terms

The first order implies de facto payment immediately by cheque or credit card.
If requested, an account can be opened in the case of regular orders. In this case, please send us your bank account details.
The goods delivered remain the property of Ciel until the invoice has been fully paid.

7. Cancellation of order

Any cancellation of an order being transacted must be confirmed in writing.

8. Guarantee

All products are under a guarantee of one year except the electronic tubes which, unless otherwise mentioned, have a guarantee of three months from the date of our invoice.
With regard to the guarantee on the tubes' useful life, this is expressed in hundreds or thousands of statistical hours. Ciel Electronique reserves the right to assess the validity of a request for a standard exchange of a disputed tube in comparison to the manufacturer's data.

The goods travel at the recipient's risk.

The guarantee is excluded if the faulty working stems from an illicit intervention, normal wear and tear, inappropriate use, or the purchaser's failure to maintain, or more generally, from any other intervention carried out without the authorisation of the Ciel Electronique technical services.

Only the Ciel Electronique technical service is authorised to determine the defective nature of a component or an electronic sub-assembly.

The liability of Ciel Electronique is formally limited to the replacement of the defective components with identical components, to the exclusion of any other contractual obligations.
Similarly, Ciel Electronique shall not be held liable for the consequences of the lost data caused by defective memory components or similar.
It is up to the purchaser to check the functioning of the memory sub-assembly.

9. Verification of the delivery

Please ensure that you check the contents of the parcel on receipt and that all the equipment ordered has been delivered.
The parcels must be checked in the presence of the delivery agent. In the case of a complaint, the carrier's receipt is proof.
Products returned will undergo a quality check before any decision is made by Ciel Electronique.

10. Complaint - Disputes

In the case of a breakage or an obvious anomaly, a period of three full days is allowed to inform Ciel Electronique (in writing: fax or by post).
Any complaint concerning a product shall include the information concerning the use of the article under normal conditions (technical report to be attached).

11. Returns

In the case of any goods returned, the customer shall have seven full days from delivery to notify the request for an exchange or reimbursement (Article L121-20 of the French Consumer Code).

12. Late payment

In the case where the purchaser fails to pay the sums due to Ciel Electronique, the latter reserves the right to suspend any delivery in progress until the sums due by contract have been fully paid.
In the case of disputes concerning unreasonable payment terms, the purchaser shall bear all the costs incurred in the submissions for legal settlement relating to the sums due.

13. Penalties

In the case of an excessive delay in payment, a rate of 18% per year shall be applied.

14. Liabilities

The liability of Ciel Electronique is limited only to the goods delivered, not to losses of income or hardware deteriorated, resulting from a defective component.

15. Jurisdiction

In the case of a recognised dispute, only the Nice Court has jurisdiction and French law shall be applicable in the case of international commerce.
Unforeseen events or force majeure are likely to exempt the parties from the respective liabilities (cases of war, earthquake, etc.), the legal reconciliation of the parties is desirable to examine the possibility of continuing to fulfil the contract.

The foregoing terms and conditions are the tacit rules which prevail in any transaction with the company Ciel Electronique, unless it grants a special waiver thereto.
